Use of Services

You are solely responsible for ensuring that the information you provide for shipments, including sender and recipient names, addresses, and package contents, is accurate and compliant with all applicable laws and regulations.

You agree to pay all fees associated with your use of our Services as displayed on our platform or as otherwise communicated to you. Payment for services may be required upfront or upon shipment completion, depending on the specific service and terms agreed upon. Termination

To the maximum extent permitted by applicable law, Routely and its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses arising out of or in connection with your use of our platform or Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or in connection with these Terms or your use of our platform or Services shall be limited to the amount paid by you, if any, for the Services during the three (3) months preceding the date of the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Routely and its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our platform or Services, your User Content, your breach of these Terms, or your violation of any applicable laws or regulations.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any disputes regarding their formation, validity, interpretation, performance, or termination, shall be exclusively resolved by the competent courts of the Federal Republic of Nigeria.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Routely Systems Ltd with respect to your use of our platform and Services, and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between you and Routely.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, unless acknowledged and agreed to by us in writing.
Assignment
You may not assign or transfer these Terms, in whole or in part, without our prior written consent. Routely may freely assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment or transfer in violation of this provision shall be null and void.
Modifications to Terms of Service
We reserve the right to modify, update, or change these Terms at any time, with or without notice, in our sole discretion. Any changes to these Terms will be effective immediately upon posting on our platform or notifying you by email or other means of communication. Your continued use of our platform or Services after such modifications, updates, or changes constitutes your acceptance of the revised Terms.
Miscellaneous
These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Routely. These Terms, and any rights or licenses granted hereunder, may not be transferred or assigned by you without our prior written consent, but may be assigned by Routely without restriction. Any failure by Routely to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Routely with respect to your use of our platform and Services, and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
